The SpaceX Cursor acquisition is now formally complete, with Cursor’s official blog confirming that the AI coding assistant has become a wholly owned part of Elon Musk’s aerospace and computing conglomerate. The company is billing it as access to something no independent startup could have bought its way into: the largest fleet of GPUs on the planet.
The merger agreement, formally titled Agreement and Plan of Merger, dated June 16, 2026, by and among Space Exploration Technologies Corp., X67 Inc. and Anysphere, Inc., is listed as Exhibit 10.1 in a SpaceX SEC filing. The deal closed on 14 August 2026, according to Digital Applied.
Cursor’s framing is unambiguously infrastructure-first. ‘SpaceX is building the computing capacity needed to scale intelligence far beyond what exists today,’ the company wrote. ‘Cursor will be one place where that intelligence becomes useful.’ It also cited ‘access to the largest fleet of GPUs in the world’ as the headline benefit of joining up. That is a bold promise. Whether developers feel the difference inside the editor is a question the next few product cycles will answer.
From Partnership to SpaceX Cursor Acquisition: How the Deal Was Structured
The relationship did not begin in June. According to Cursor’s blog post, it started in April 2026, ‘when we announced our partnership with SpaceXAI to accelerate our model training efforts.’ SpaceX was given an option at that point to acquire Cursor outright for $60 billion in an all-stock deal, with a roughly $10 billion breakup fee if it declined to exercise, according to Developers Digest. It did not decline.
The $60 billion figure looks steep until you run it against Cursor’s own numbers. According to Developers Digest, Anysphere (Cursor’s parent company) reached roughly $4 billion in annualised revenue in under four years, with approximately $2.6 billion of that coming from enterprise B2B customers. At $60 billion all-stock, the deal values Cursor at approximately 15x revenue. For an AI coding tool in a market moving this fast, that multiple is aggressive but not absurd.
A Company That Keeps Adding Pieces
Cursor is not the only major acquisition SpaceX has completed recently. xAI Holdings, Musk’s artificial intelligence company, became a wholly owned subsidiary of SpaceX on 2 February 2026, pursuant to a merger transaction, according to a Tesla 10-K/A SEC filing. That combination created a joint entity valued at around $1.25 trillion, with two new Nevada entities established on 21 January 2026 to facilitate the deal, according to The D&O Diary.
Tesla also entered the picture. The same SEC filing records that Tesla agreed on 16 January 2026 to invest approximately $2.00 billion to acquire shares of xAI Holdings Series E Preferred Stock. After the SpaceX-xAI merger, that right converted into the right to acquire SpaceX Class A common stock, and Tesla completed the investment on 12 March 2026.
SpaceX itself went public on Nasdaq on 12 June 2026, simultaneously dual-listing on Nasdaq Texas, which launched in March 2026, according to the Nasdaq Newsroom. The IPO raised approximately $75 billion, selling roughly 556.6 million shares at $135 per share. The stock, trading under the ticker SPCX, closed its first day at around $161, up roughly 19% from the offer price, according to IPO CLUB. Reuters reported that SpaceX surpassed a $2 trillion market capitalisation on its Nasdaq debut.
All of which means the company now acquiring Cursor at $60 billion in stock is itself worth north of $2 trillion. The currency is expensive, but it is also rather convincing as a recruitment tool.
What Cursor Users Can Expect Next
The first product signal came quickly. Three days after the acquisition closed, Cursor’s changelog announced ‘Origin’ code hosting rolling out in early beta on all paid plans on 17 August 2026, according to Digital Applied. The first model tied to the new relationship was Grok 4.6.
SpaceX has already been renting its computing infrastructure to customers including Anthropic and Google, and faces a lawsuit over pollution from its data centre gas turbines. Cursor is now plugged into that same stack, for better or worse.
The real test comes when Grok-powered features land in enough developers’ workflows to be judged on merit rather than on the size of the GPU cluster behind them. That clock started on 14 August.
